Customisation of Company Memorandum of Incorporations (MOI):


  • Converting the old Memorandum of Association into a relevant MOI which complies with the New Companies act, and is relevant to the specific Company.
  • Implementing a Customised MOI for Companies registered under the new act, to ensure the best interest of all parties within the company (the Company, Shareholders and Directors)
  • Moving away from the CIPC standard MOI, which is not structured for the small to medium size entities, and not in the best interest of the Company, or third parties? These standard MOI’s potentially are putting the Company at risk.


Conversion of Close Corporations to Companies:


  • In light of the New Companies Act, and amendments to the Close Corporations Act, the conversion of CC’s to Companies is being advised to all CC clients, to reduce the risk to both their businesses and personally. Members of Close Corporations do not enjoy the protection of the defense against reckless trading charges afforded to directors who site the obtaining of expert advice as being a hedge against prosecution.
  • Reduce the extensive financial reporting required by a CC, in terms of the Close Corporation and Companies Act. CC’s are bound by both Acts.
  • Allow an alternate option to the financial reporting other than an Audit, as a Close Corporation does not qualify for an “Independent Review”.

Neil Oberholzer and Kevin Fleiner manage LUMENROCK South Coast (Pty) Ltd and LUMENROCK SC Property Management Services (Pty) Ltd on a day-to-day basis.

Neil has 45 years’ experience in the accounting field and served on the SAIPA Council for 13 years and served as its President for 2 years. He was solely responsible for obtaining International recognition for SAIPA on IFAC and served on the Management Accounting Committee of the International Federation of Accountants and was the co-author of a publication in respect of Risk management.

 Neil is an Associated General Accountant registered with the South African Institute of Chartered Accountants AGA(SA), served his 5 year PAAB articles with Dreyer and Dreyer in Johannesburg and studied at both Wits University and Unisa for a CTA, qualification.  

Kevin Fleiner served his SAICA articles with Alliott de Witt Saestad, a local auditing firm and holds a bachelor of Accounting degree and is an Associated General Accountant registered with the South African Institute of Chartered Accountants AGA(SA). Kevin is also very strong on marketing and has exceptional inter personal skills as well as accounting and tax skills.

Both members are registered Tax Practitioners with the South African Revenue Services in terms of the TAX Administration Act of 2012 and both are Commissioners of Oaths.
